Terms of Use for DRUMS (Daikai Remote Ubiquitous Monitoring System)

1. Acceptance of Terms

Welcome to DRUMS, the data monitoring service provided by Daikai Engineering Pte Ltd (Daikai). These Terms of Use govern your access to and use of DRUMS, including any content, functionality, and services offered on or through DRUMS. By using DRUMS, you acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you must refrain from accessing or using DRUMS.

2. Scope of Services

DRUMS provides a platform for remote monitoring of equipment in industrial, maritime, and power plant settings. The service collects data from sensors installed on equipment, facilitating operational enhancements, maintenance, and efficiency improvements.

3. Use of the Services

  • License Grant: Daikai grants you a limited, revocable, non-exclusive, non-transferable license to use DRUMS solely in accordance with these Terms.
  • Restrictions on Use: You may not misuse DRUMS. Misuse includes attempting to gain unauthorized access, using services for illegal or harmful activities, or infringing intellectual property rights.

4. User Obligations

You agree to comply with all applicable laws and regulations while using DRUMS. Additionally, you must provide accurate and complete information for all purposes related to your use of the service.

5. Mandatory Arbitration and Waiver of Class Action

  • Arbitration: Any disputes or claims arising out of or relating to these Terms or the services provided by DRUMS shall be resolved through binding arbitration in accordance with SIAC rules. Arbitration will take place in Singapore and be conducted in English.
  • Waiver of Jury Trial and Class Actions: You waive rights to a jury trial and participation in class actions. All disputes will be resolved on an individual basis.

6. Limitation of Liability

Daikai shall not be liable for indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or use, whether in contract, tort, or otherwise, arising out of or connected with DRUMS usage or these Terms.

7. Intellectual Property Rights

All intellectual property rights in DRUMS content, services, and materials remain the property of Daikai or its licensors. You are granted no rights other than the limited license described in these Terms.

8. Data Protection

Daikai implements reasonable security measures to protect your data in compliance with the Singapore Personal Data Protection Act (PDPA). DRUMS does not collect personal information by design for machine telemetry workflows; collected data is focused on machine operations and performance metrics.

9. Modifications to Terms

Daikai reserves the right, at its discretion, to modify these Terms at any time. By continuing to access or use DRUMS after such modifications, you agree to be bound by the revised Terms.

10. Termination

Daikai may terminate your access to all or any part of DRUMS at any time, with or without cause, with or without notice, effective immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles.

12. Entire Agreement

These Terms constitute the entire agreement between you and Daikai regarding DRUMS use and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Terms and Conditions for Engine and Industrial Machine Data Management by DRUMS

1. Acceptance of Terms

These Terms and Conditions regulate your access and usage of the data management services provided by DRUMS, operated by Daikai Engineering Pte Ltd (Daikai). By accessing or using DRUMS for data collection and analysis, you agree to these terms. If you do not accept these terms, you must discontinue use immediately.

2. Data Collection

  • Scope of Data Collected: DRUMS collects and manages engine and industrial machine data, including temperature, pressure, vibration, RPM, fuel consumption, power, digital inputs, digital outputs, and operational efficiency metrics.
  • Purpose of Data Collection: Data is collected for efficient monitoring, analysis, optimization, predictive maintenance, anomaly detection, reduced downtime, and improved safety.

3. Data Usage

  • Use of Data: Data collected through DRUMS supports service enhancements, operational analysis, and optimization strategies tailored to client requirements. Data may also be aggregated and anonymized for broader analytical use.
  • Data Sharing: Engine and industrial machine data will not be shared with third parties without explicit client consent, except when required by law.

4. Data Protection and Security

  • Security Measures: Daikai implements robust safeguards including encryption, firewalls, and secure server facilities to prevent unauthorized access, disclosure, alteration, and destruction.
  • Data Retention: Data is retained only as long as required for stated purposes or by applicable regulations.

5. Intellectual Property Rights

  • Ownership of Data: Clients maintain ownership over their specific datasets. Daikai retains rights to general analytical insights derived from aggregated anonymized service data.
  • Proprietary Rights: DRUMS methodologies, software, and workflows are proprietary to Daikai and protected by intellectual property laws.

6. Mandatory Arbitration

  • Dispute Resolution: Disputes related to these Terms or DRUMS services are resolved through binding arbitration in Singapore under SIAC rules.
  • Class Action Waiver: Users waive rights to class action participation; disputes are resolved individually.

7. Limitation of Liability

Daikai shall not be liable for indirect, incidental, special, or consequential damages arising from use or inability to use DRUMS services, including loss of profits, data, or other intangible assets, even if advised of possible damages.

8. Modifications to Terms

Daikai reserves the right to modify these terms at any time. Continued use of DRUMS services after modifications constitutes acceptance of updated terms.

9. Governing Law

These Terms are governed and construed under the laws of Singapore, without regard to conflict-of-law principles.
